Terms of Service

1. Introduction and Acceptance
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Tenant,” “you,” or “your”) and Gyanis (FZC), a Free Zone Company registered under License No. 10506, incorporated at the Sharjah Research Technology and Innovation Park (SRTIP), Sharjah, United Arab Emirates, pursuant to Sharjah Emiri Decree No. 38 of 2016 (“Gyanis,” “we,” “our,” or “us”).
By accessing or using the Gyanis AI platform, including the website at platform.gyanis.ai, the APIs, the tenant dashboard, and all related services (collectively, the “Platform”), you agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree to these Terms, do not access or use the Platform.
2. Description of Services
The Gyanis AI Platform provides:
- AI Chat API: RESTful API endpoints for AI-powered educational interactions, including synchronous (/chat) and streaming (/chat/stream) modes.
- Entity Management: Multi-entity architecture for managing students, teachers, institutions, classes, and curricula with per-entity conversation tracking.
- Content Moderation: Automatic multi-layer content safety pipeline for screening AI-generated responses.
- Usage Analytics: Real-time dashboards for monitoring API usage, token consumption, latency, error rates, and cost projections.
- API Key Management: Scoped API keys with granular permissions, live and test modes, and configurable rate limits.
- Webhook Notifications: HMAC-signed event notifications for chat completions, credit alerts, moderation flags, and usage thresholds.
- Billing and Credits: Prepaid token credit system with Stripe-powered payment processing.
3. Account Registration
3.1 Registration
To use the Platform, you must submit a registration request through our registration form or be invited by an existing authorized user. Registration is subject to our review and approval.
3.2 Account Responsibilities
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account, including all API usage by keys issued to your account.
- You must immediately notify us at hello@gyanis.ai if you become aware of any unauthorized use of your account.
3.3 Account Suspension
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, fail to pay for services, or if required by law.
4. API Keys and Access
- API keys are issued to Tenants and provide authenticated access to Platform endpoints.
- Keys support 9 granular permission scopes: all access (*), chat, chat.stream, keys, usage, webhooks, entities, billing, and compliance.
- Keys operate in live mode (production, billing enforced) or test mode (billing skipped).
- You are solely responsible for the security of your API keys. Never share API keys in public repositories, client-side code, or unsecured channels.
- Compromised keys should be immediately revoked through the dashboard or API.
- We reserve the right to revoke API keys that are found to be compromised, misused, or used in violation of these Terms.
5. Acceptable Use
You agree to use the Platform only for lawful purposes. You shall not:
- Use the Platform to generate, distribute, or facilitate harmful, abusive, threatening, defamatory, or otherwise objectionable content.
- Attempt to circumvent content moderation safeguards, rate limits, or billing controls.
- Use prompt injection or other techniques to manipulate AI behavior outside intended educational use cases.
- Reverse-engineer, decompile, or disassemble any part of the Platform or its underlying models.
- Resell, redistribute, or sublicense Platform access without prior written authorization from Gyanis.
- Interfere with or disrupt the Platform infrastructure, including attempting denial-of-service attacks or excessive API abuse.
- Collect or harvest personal data of other Tenants or their end users without authorization.
- Use the Platform for any purpose that violates applicable laws or regulations, including data protection and child safety laws.
6. Billing and Payment
6.1 Prepaid Credit Model
The Platform uses a prepaid token credit system. You purchase token credits in advance, and each API request deducts the actual tokens consumed from your credit balance at the applicable tier rate.
6.2 Pricing Tiers
Two pricing tiers are available:
- Standard Tier (mobius): $4.00 per million input tokens, $12.00 per million output tokens, $2.00 per million cached input tokens.
- Premium Tier (oloid): $6.00 per million input tokens, $22.00 per million output tokens, $3.00 per million cached input tokens.
All prices are in US Dollars (USD). Pricing is subject to change with 30 days' prior notice.
6.3 Payment Processing
Payments are processed securely through Stripe, Inc. By making a purchase, you also agree to Stripe's terms of service and privacy policy.
6.4 Credit Exhaustion
When your credit balance reaches zero, API requests will return a 402 error. Webhook notifications are sent when credits are low and when credits are depleted, giving you time to purchase additional credits.
6.5 Refunds
Prepaid token credits are non-refundable. We recommend starting with a smaller purchase to estimate your usage before buying larger volumes. For purchases above 100 million tokens, contact our sales team for custom arrangements.
7. Service Level
7.1 Availability
We target 99.9% uptime for the Platform. The Platform runs on redundant multi-region infrastructure with automatic failover and circuit breakers to prevent cascading failures.
7.2 Maintenance
We may perform scheduled maintenance that temporarily affects Platform availability. We will provide reasonable advance notice for planned maintenance windows.
7.3 No Guarantee
While we strive to maintain high availability, the Platform is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, error-free, or secure operation at all times.
8. Data and Privacy
8.1 Data Ownership
- Your Data: You retain all rights to the data you submit to the Platform, including entity data, conversation content, and custom metadata.
- Platform Data: We own all rights to aggregated, anonymized analytics, Platform improvements, and derivative works that do not identify individual Tenants or their data.
8.2 Data Processing
We process your data as described in our Privacy Policy. By using the Platform, you acknowledge and agree to our data processing practices.
8.3 Tenant Responsibilities
As a Tenant, you are responsible for:
- Ensuring you have all necessary rights and consents to submit entity data (including personal data of students, teachers, and other individuals) to the Platform.
- Complying with all applicable data protection laws (including GDPR, FERPA, and local child data protection regulations) in your use of the Platform.
- Obtaining parental or institutional consent where required before creating entities for minors.
- Promptly using the Platform's data deletion tools to honor data subject requests.
9. Content and Moderation
9.1 AI-Generated Content
The Platform uses AI models to generate educational content. While we employ content moderation safeguards, AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate. You acknowledge that:
- AI-generated content should not be treated as professional educational advice.
- You are responsible for reviewing AI-generated content before presenting it to end users, particularly minors.
- We are not liable for decisions made based on AI-generated content.
9.2 Content Moderation
All AI-generated responses pass through our multi-layer content safety pipeline. Flagged content triggers webhook notifications and is logged for review. We reserve the right to modify moderation policies to improve safety.
10. Intellectual Property
10.1 Platform IP
The Platform, including its APIs, documentation, dashboards, algorithms, models, and design, is the intellectual property of Gyanis (FZC). Nothing in these Terms grants you ownership of any Platform intellectual property.
10.2 License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.
10.3 Feedback
If you provide suggestions, ideas, or feedback regarding the Platform, you grant us an unrestricted, irrevocable, worldwide license to use such feedback for any purpose without obligation to you.
11. Rate Limits and Fair Use
- The Platform enforces per-key rate limits including requests per minute (RPM), tokens per minute (TPM), and daily request caps.
- Default limits are 60 RPM and 100,000 TPM. Enterprise customers may request custom limits.
- Exceeding rate limits results in 429 errors with rate-limit headers indicating when requests can be retried.
- Intentional or repeated abuse of rate limits may result in temporary or permanent key revocation.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- GYANIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- WE ARE NOT LIABLE FOR THE ACCURACY, COMPLETENESS, OR SUITABILITY OF AI-GENERATED CONTENT FOR ANY PARTICULAR PURPOSE.
13. Indemnification
You agree to indemnify, defend, and hold harmless Gyanis (FZC), its owners, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Platform.
- Your violation of these Terms.
- Your violation of any applicable law or regulation, including data protection laws.
- Your end users' use of services powered by the Platform.
- Any claim that data you submitted to the Platform infringes the rights of a third party.
14. Termination
14.1 By You
You may stop using the Platform at any time. To close your account, contact us at hello@gyanis.ai. Unused credits are not refundable upon termination.
14.2 By Us
We may suspend or terminate your access to the Platform immediately and without notice if:
- You breach these Terms.
- You engage in fraudulent or illegal activity.
- Your account remains inactive for an extended period.
- Continued service poses a security or legal risk.
- Required by law or regulatory authority.
14.3 Effect of Termination
Upon termination, your right to access the Platform ceases. We may retain your data for the period required by applicable laws. Provisions that by their nature should survive termination will survive, including Sections 10, 12, 13, and 16.
15. Modifications to Terms
We may modify these Terms at any time. We will notify Tenants of material changes via email or through the Platform dashboard at least 30 days before the changes take effect.
Your continued use of the Platform after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must stop using the Platform before the changes take effect.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Emirate of Sharjah and the applicable federal laws of the United Arab Emirates.
16.2 Dispute Resolution
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the competent courts of the Emirate of Sharjah, United Arab Emirates.
17. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Gyanis regarding the Platform.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, internet outages, or third-party service failures.
- Notices: We may send notices to you via email or through the Platform dashboard. Notices from you must be sent to hello@gyanis.ai.
